These are the terms and conditions (the “Terms”) under which you have been provided access to Lithoscope and any related materials and information (the “Software”) by Scient Analytics Inc. (“Scient”, “we”, “our”, and “us”). Your access of the Software will constitute acceptance and you will be deemed to have agreed to these Terms. Review closely. 1. Limited Right to Access: You will be provided with confidential login credentials. Your right to access is limited to testing and evaluating the Software for the benefit of Scient only and for the purpose of Scient’s demonstration of the Software. You will not exploit the Software or create any competing product or service. You agree to report all concerns, deficiencies, and suggestions to us.
2. No Conflict of Interest: You certify that you are not an employee or affiliate of an organization offering a competing product or service, and that you are not involved in testing, marketing, development or production of any competing product or service, directly or indirectly. IF YOU HAVE A CONFLICT OF INTEREST OR BELIEVEYOU MAY BE IN CONFLICT, YOU ARE NOT PERMITTED TO ACCESS THE SOFTWARE.
3. Confidentiality: You will use all reasonable efforts to protect the confidentiality of the Software and other confidential information of ours that may come to your attention as a result of such testing. You will not disclose the Software’s logins, features, source code or show the Software to anyone. You shall not copy, publish, modify or change, or attempt to recreate, reverse engineer or disassemble any of the Software. You will return all materials that we provide or that you may have made relating to the Software, including any screenshots or otherwise. You agree that you will not reverse engineer or disassemble the Software, or attempt todo so.
4. Ownership: You acknowledge and understand that the Software is our property, whose rights are subject to copyright, trade secret and other laws.
5. Remedy: You agree that should you breach any of these Terms that Scient would suffer irreparable harm and would be without adequate remedy at law. You agree that Scient may obtain injunctive relief or other equitable relief against you, including specific performance of these Terms, as well as monetary award for damages suffered by Scient for any breach or threatened breach of these Terms.
6. Warranties. The Software, as well as any confidential information, is provided “as-is”. We make no representation, warranty or guarantee with respect to the Software and assume no liability for its use or performance. We reserve the right to alter aspects of the Software from one demo version to the next, including user interface, screen displays, fonts and functionality. We specifically disclaim any and all liability for damages of any kind caused by the use, unavailability, or otherwise related to the Software in any way.
